This document outlines the terms and conditions for the Smart Financing Powered by Regions Promotion, whereby select contractors (“Participants”) can enroll in the Smart Financing program (“Program”) offered by Regions Bank (“Bank”) to receive partial refunds of dealer fees paid to Regions Bank (“Dealer Rebate”) for meeting certain goals established by Bank (“Promotion”). Each Participant is party to a program whereby Participants’ customers can apply for and potentially receive project financing through Bank. Participants’ program obligations, such as dealer fee calculations, are described in their corresponding program agreements.

Promotional Period. The Promotion is valid from December 1, 2025 through close of business on March 31, 2026 (“Promotional Period”)

Program Overview. During the Promotional Period, Participants who enroll and activate in the Program will be eligible to receive a Dealer Rebate on select products (listed below). To enroll and be activated, Participants must schedule and complete an orientation training with Bank and submit the enrollment packet (including a voided check and Fee Payment Authorization Form) via email to [add email address] (“Activation”). Additionally, Participants who complete Activation before December 31, 2025 will also receive a $250 Amazon® gift card.

Dealer Fee Rebate/Gift Card. Only two loans: 1) 9.99% APR 5-Year, and 2) 12-Month Same-As-Cash, are eligible for a Dealer Rebate. 00% rebate on dealer fees, up to $2,500 maximum will be awarded during the Promotional Period. Upon determination of the qualification of the Participant, the gift card shall be sent via email to the email address provided to Regions by Participant when registering for the Program

Rebate Payout Schedule. Rebates will be paid on the following dates via ACH: April 15, 2026, July 15, 2026, and October 15, 2026.

Additional Terms and Conditions.

Offer valid only during the stated Promotional Period.
All Program requirements must be met to qualify for rebates and bonuses.
This Promotion is not a consumer offer.
Referral bonuses and dealer fee rebates are non-transferable, non-combinable with other offers, and cannot be substituted for cash.
Bank reserves the right to modify or terminate the Promotion at any time without prior notice and to disqualify any Participant for any reason, including suspected fraud or violation of these terms.
Bank may delay or refuse payment if it suspects fraudulent activity or behavior inconsistent with the Promotion’s intent. Bank reserves the right to withhold, offset, or recover any payment if it later determines that eligibility criteria were not met or that fraud, misrepresentation, or other misconduct occurred.
Participants agree to release and hold harmless Bank and its affiliates from any liability arising from participation in the Promotion or use of any bonus or rebate. Participants agree to indemnify and hold Bank harmless from any third-party claims arising from a Participant’s conduct in connection with the Promotion.
Participants are solely responsible for all taxes associated with any bonus or dealer fee rebate. Bank may issue IRS Form 1099 or other required tax reporting.
All disputes shall be governed by Utah law and resolved exclusively in Utah courts. Bank disclaims all warranties related to the Promotion and limits its liability to the maximum bonus or rebate amount applicable to each Participant.
By participating in the Promotion, Participant agrees to these terms and conditions, the Terms of Use of Bank’s website, Bank’s Privacy Policy, and authorizes Bank communications through the contact methods provided by Participant (i.e., SMS messaging, email, telephone calls, etc.).
