About the Program

The Regions Home Improvement Financing Contractor Referral Program (“Program”) offered by Regions Home Improvement Financing (“Regions”) has been created to reward home improvement contractors and program sponsors (“you” or “Referrer”) for referring other home improvement contractors not currently participating in a Regions Consumer Loan Program (“Loan Program”) and who are not program sponsors. Referrals must be submitted between October 1, 2025 and December 31, 2025.

Terms & Conditions

The following Program Terms and Conditions (“Terms and Conditions”) contain important information about the Program, so please read them carefully. These Terms and Conditions are a binding agreement between you and Regions and will govern your participation in any and all Program offers. You are not authorized to participate in the Program if you do not agree to these Terms and Conditions in their entirety.

Regions reserves the right to modify these Terms and Conditions at any time, at its sole discretion, and without notice to you. Participation in the Program is considered acceptance of the Terms and Conditions and any modifications which might be made. Regions may also, in its sole discretion, change, cancel, suspend or modify any aspect of the Program without notice. Regions reserves the right to disqualify, at any time and for any reason, any participants from participation in the Program. By participating in the Program, you also agree to the Regions Site Terms of Use and the Regions Privacy Policy.

Program Participation

As a reward, Regions will give up to Five Thousand and 00/100 Dollars ($5,000.00) in digital American Express® gift cards (the “Incentive”) to any Referrer who meets the following criteria:

Referrer – A Referrer Must:

• Be a home improvement contractor or program sponsor (active participation with Regions is not required); and
• Be a legal resident of the United States of America, or
• Be an entity organized and validly existing under the laws of one of the fifty (50) states or the District of Columbia; and
• Refer a Qualified Referral (defined below); and
• Not be an employee or relative of an employee of Regions or any of its affiliates

Qualified Referral – Means that all of the following conditions are met:

• The referred contractor is not currently participating in a Loan Program and is not a program sponsor; and
• The referred contractor is verified as a legitimate home improvement business or entity; and
• The referred contractor activates/enrolls in a non-sponsored loan program by February 28th, 2026; and
• The referred contractor books their first loan with Regions by May 31st, 2026.

Reward Issuance

The Incentive will be delivered to the eligible Referrer based on the following milestones:

• $500.00 – Paid once the referral is verified as a qualified lead (i.e., a legitimate home improvement contractor or entity).
• $1,500.00 – Paid if the referral activates/enrolls in non-sponsored loan program by February 28th, 2026.
• $3,000.00 – Paid if the referral books their first loan with Regions by May 31st, 2026.

Incentives are considered taxable income and are subject to federal, state and local taxes. Regions will follow IRS requirements regarding tax reporting. In order to report prizes totaling $600 or more, the Referrer must complete IRS Form W-9 and furnish their social security number to Regions prior to receiving an Incentive and within ten (10) business days of receiving the form; failure to do so will result in disqualification and forfeiture of the Incentive. Incentives are non-transferable. All taxes or expenses, including, without limitation, sales tax, luxury tax and any other costs incurred in claiming or using any Incentive, are the sole responsibility of the Participant. No Incentive substitution or cash equivalent of prize is permitted.

Making a Referral

A Referrer or the contractor they refer must complete a Contractor Referral Form (“Form”) in order to qualify for the Incentive. The Form can be obtained at homeimprovement.rhif.regions.com/contractor-referral. The Referrer or the contractor they refer must complete all required fields within the Form. A separate Form must be completed for each referral that is made. Referrers may not refer themselves. Referrals must be submitted between October 1, 2025 and December 31, 2025.

Fraudulent and Suspicious Behavior

Regions may delay an Incentive for the purposes of investigation. Regions may also refuse to process and pay an Incentive, in its sole discretion, if it deems it to be fraudulent, suspicious, in violation of the Terms and Conditions, or believes it will impose potential liability on Regions, its affiliate or any of their respective officers, directors, employees, and representatives. All of Regions’ decisions are final and binding.

Regions may prohibit a Referrer from participating in the Program or receiving an Incentive, in its sole discretion, if it determines that such Referrer is attempting to undermine the fairness, integrity or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair playing practices or intending to annoy, abuse, threaten or harass any other representatives of Regions.

General Conditions

By participating in the Program, you agree to release, discharge, indemnify and hold harmless Regions, its affiliates, and their respective officers, directors, and employees from any liability or damages which may arise out of participation in the Program or out of the acceptance, use, misuse or possession of any Incentive attained through the Program.

Except where prohibited, all questions, issues, claims and causes of action arising out of or related to the Program or any incentive awarded shall be resolved under Utah law (exclusive of principles of conflicts of laws).

WARRANTY DISCLAIMER OF WARRANTIES. YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK, THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND REGIONS EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES CONTEMPLATED BY THIS AGREEMENT, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) REGIONS MAKES AND GIVES NO WARRANTY THAT THE PROGRAM WILL (I) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

LIMITATION OF LIABILITY. YOU EXPRESSLY UNDERSTAND AND AGREE THAT REGIONS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE (EVEN IF REGIONS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). THE PARTIES ACKNOWLEDGE AND ACCEPT THE REASONABLENESS OF THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THIS PROVISION. TO THE FULLEST EXTENT POSSIBLE BY LAW, REGIONS’ MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), WILL NOT EXCEED FIVE THOUSAND AND 00/100 DOLLARS ($5,000.00).
